Welcome to Excellence Visions Training and Consultancy ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website, LMS platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our Services.

Acceptance of Terms

- These terms and conditions ("Terms", "Agreement") are an agreement between EVTC (Excellence Visions Training and Consultancy) and you ("user", "you" or "your"). 

- This agreement determines the general terms and conditions for your use of website and LMS and any of its products or services.

- You must read and agree to these terms of use and privacy policy before registering on website and LMS to benefit from the services provided by EVTC

- By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms. This represents a legal agreement between you as a user and EVTC.

- If you do not agree to the terms and conditions, you will not receive any information and will not be able to use the LMS provided by EVTC.

- Please read these terms and conditions carefully as they relate to your legal rights. 

- EVTC management has the right to update and revise any of the clauses at any time without referring to you as a user, in this case, we will update this page, the updated agreement will be effective as of the date of publication on this page. Your login to the system after updates to the terms and conditions constitutes your acceptance of the updated terms and all changes contained therein. 

- If you are a parent and you register on the LMS, you will agree to be bound by these terms and conditions for your child's use of the platform. 

- It's not allowed to use website and LMS for illegal or prohibited purposes.

- EVTC may prevent/restrict access to the online learning website for any technical, security, and or any other reasons at its discretion

Changes to Terms

We may revise these Terms periodically. Any changes will be posted on this page, and the "Last Updated" date at the top of these Terms will reflect the most recent revision. Continuing to use the Services after any changes indicates your acceptance of the new Terms.

Your Obligations and Responsibilities

Accurate Information

You agree to provide accurate, current, and complete information when creating an account and enrolling in courses. Failure to provide correct information may result in restriction or termination of your LMS access.

Compliance with Terms and Policies

You agree to use the LMS, courses, and content in compliance with these Terms and all applicable laws and regulations. This includes adherence to all policies outlined in these Terms, including but not limited to the Code of Conduct, Content Licenses & Permissions, and Payment Terms.

Access Credentials’ Protection

You are responsible for maintaining the confidentiality of your LMS account login details. Any activity on your account will be deemed authorized by you. Please notify us immediately of any unauthorized access to your account.

Respectful and Appropriate Conduct

You agree to engage respectfully with instructors, staff, and other learners. Abusive, offensive, or discriminatory behavior, whether in Forums or other areas of the LMS, is strictly prohibited and may result in account suspension or termination.

Usage Restrictions

You agree not to:

• Share, copy, or redistribute course content in violation of the Content, Licenses & Permissions terms.

• Attempt to bypass security measures, alter or modify the LMS, or use it in a way that disrupts other users’ experience.

• Engage in any unlawful activity, including but not limited to fraud, hacking, or the misuse of personal data.

• Prohibited Actions: You may not copy, share, resell, or distribute course materials or any other Content to any unauthorized third parties. Unauthorized sharing, uploading, or distribution of Content outside the LMS, including posting on third-party platforms, is strictly prohibited.

• Recording Limitations: Recording, downloading, or capturing any Content, whether recorded or live, is prohibited without prior written permission. Attempting to access or download Content by circumventing security measures is also strictly forbidden.

Technical Requirements and Updates

You are responsible for ensuring that you have the necessary technical equipment (e.g., device, internet connection) and software to access the LMS and participate in courses. We are not liable for issues arising from your equipment or network.

Payment Obligations

You agree to make timely payments for courses and other services as outlined in the Payment Terms. Non-payment or payment defaults may result in restricted access, late fees, or account termination.

Reporting Issues or Violations

If you encounter technical issues or observe violations of these Terms, we encourage you to report them to [email protected] so that we can address them promptly. Your cooperation helps us to maintain a safe and effective learning environment.

Responsibility for Learning Outcomes

You acknowledge that learning outcomes are influenced by your individual engagement, effort, and participation in the course. We encourage active involvement, but the responsibility for learning and applying course content remains with you.

Account Creation

• You must create an account and set up a password to access certain LMS features, including course registration and payment and other services.

• You agree to provide accurate and up-to-date information during registration and keep it current. This information you provide will assist us in delivering content, customer support, network management, and other services.

• You are responsible for maintaining the confidentiality of your account, username, and password (collectively, your "Account") and for any activities associated with or conducted through your Account.

• You guarantee that the information on your Account will be accurate at all times.

• Please notify us immediately of any unauthorized use of your account or other security breaches, and remember to log out of your account after each session.

• To the fullest extent allowed by applicable law, we are not liable for any loss or damage arising from your failure to comply with these requirements or due to the use of your Account, with or without your knowledge, before you notify us of unauthorized access.

• You are prohibited from transferring your account to another person and from using someone else’s account at any time.

• You are solely responsible for any service, telephony, data charges, and other fees related to your access to and use of the Services, as well as for acquiring and maintaining the necessary telephone, computer hardware, and equipment required for such access and use.

Course Enrollment and Access

Eligibility and Course Selection

• To enroll in a course, you must meet any specific prerequisites listed on the course page. You are responsible for reviewing these requirements before enrolling.

• Available courses are listed on the LMS, including descriptions, schedules, and fees.

Enrollment Process

• Recorded Courses: When purchasing a recorded course, payment is required in full at the time of registration to gain access. Once payment is completed, you will have immediate access to all recorded materials, subject to any stated access duration or expiration.

• Live Online Courses: To participate in a live online course, you must register before the specified start date. You will receive access details and login credentials after completing enrollment and payment. Attendance is required on scheduled dates and times for live sessions.

• Face-to-Face Courses: Enrollment for in-person courses must be completed before the course start date. After registering and making the payment, you will receive location and attendance details from the LMS or course coordinator.

Enrollment Status and Confirmation

• Your enrollment is only confirmed upon successful payment. Once confirmed, a receipt and enrollment confirmation will be sent via email, and course access will be granted through the LMS.

• For Pay Later options, enrollment is only completed once we have verified your payment, whether via bank transfer or another approved method. After verification, you will be manually enrolled by the LMS administrator.

Course Access

Course access, including recorded materials and live sessions, is strictly limited to the enrolled user. Sharing login credentials or allowing unauthorized access to course content is prohibited and may result in account suspension or revocation of access without refund.

Cancellation or Rescheduling

In the event a course is canceled or rescheduled, you will be notified via email, and options for refunds or re-enrollment will be provided according to our Refund Policy.

Certificate of Attendance:

Eligibility for Certification

• Certificate of completion or achievement are awarded to participants who meet all course requirements, including attendance, assessments, and participation, as outlined for each specific course.

• Recorded courses, live online courses, and face-to-face courses may have different requirements for certificate eligibility. Be sure to review these requirements on the course page, consult with the course instructor, or contact us by email: [email protected] 

Assessment and Marking

• Certain courses may require the completion of exams, assignments, or quizzes. The marking criteria and passing thresholds are detailed within each course.

• For courses requiring assessments, a minimum score or performance level must be attained to qualify for certification.

Issuance of Certificates

• Certificates are typically issued after completing successfully all course requirements. Digital copies will be available for download through your LMS account, or you may request a printed certificate, subject to any additional fees.

• Certificates include the course title, your name, the completion date, and any specific skills or knowledge areas covered by the course.

Reissuance and Verification

• In case of loss or damage to a printed certificate, you may request a re-issuance for an administrative fee.

• We provide certificate verification services upon request to verify the authenticity of your certification for employers or other third parties, following our privacy policy.

Certificate Expiration and Renewal

Some certifications may have an expiration date and require renewal or additional training to maintain certification validity. Information regarding expiration and renewal options will be included in applicable courses.

Misuse of Certificates

Certificates are awarded to the enrolled individual and are non-transferable. Misuse, falsification, or sharing of certificates is strictly prohibited and may result in revocation of certification and/or restriction of LMS access.

Content, Licenses & Permissions

Ownership of Content

• All content provided on our LMS, including but not limited to course materials, videos, documents, quizzes, assessments, images, and other resources ("Content"), is the exclusive property of Excellence Visions Training and Consultancy or its content providers and is protected by copyright, trademark, and other intellectual property laws.

• No rights or title in any Content are transferred to you, except as expressly provided under these Terms.

User License to Access Content

• Upon enrollment in a course and successful payment, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Content solely for personal, non-commercial educational purposes related to the course.

• You may not reproduce, distribute, modify, display, perform, or otherwise use the Content in any way not explicitly permitted by these Terms.

Permissions for Use

• If you wish to use any part of our Content for purposes other than those expressly allowed, you must first obtain written permission from us. Requests can be made by contacting us at [email protected] 

• Approved permissions will be granted on a case-by-case basis and may be subject to specific terms and conditions, including licensing fees or usage limitations.

Third-Party Content and Licenses

• Some Content within our LMS may contain links or references to third-party resources, websites, or services. Access to and use of third-party content are subject to the respective third-party terms and policies.

• We do not control third-party content and are not responsible for its availability, quality, or accuracy. Accessing third-party content is done at your own discretion and risk.

Feedback and Submissions

By submitting feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, and fully sublicensable right to use, reproduce, modify, and incorporate your feedback into our services without further consent or compensation to you.

Consequences of Unauthorized Use

• Violation of these Content, Licenses & Permissions terms may result in the suspension or termination of your LMS account, revocation of your course access, or legal action as deemed appropriate by Excellence Visions Training and Consultancy.

• Any unauthorized use or distribution of Content may subject you to civil and criminal penalties under applicable intellectual property laws in KSA.

Discussion Forums and Members’ Submissions

Purpose of Discussion Forums

The LMS may provide discussion forums, chat rooms, or other interactive areas (collectively, "Forums") where members can post questions, comments, and engage with instructors or other participants. These Forums are intended to enhance the learning experience by promoting collaborative discussion and knowledge sharing.

User Responsibilities

When participating in Forums, you agree to:

• Keep interactions respectful, constructive, and relevant to the course material.

• Refrain from posting any content that is offensive, defamatory, discriminatory, or otherwise inappropriate.

• Avoid sharing or posting any confidential information, personal data of others, or any proprietary information.

Content Ownership and Licensing

• By posting content in Forums or submitting any material (such as assignments, questions, or comments) ("User Submissions"), you retain ownership of your content. However, you grant EVTC a worldwide, royalty-free, non-exclusive, perpetual license to use, reproduce, modify, adapt, display, distribute, and create derivative works from your User Submissions as necessary to operate, improve, or promote the LMS.

• This license allows us to showcase, modify, or use submissions in a manner consistent with our educational goals, including using anonymous excerpts in marketing or promotional materials.

Moderation of Forums

• We reserve the right to monitor, moderate, or remove any posts or submissions within the Forums that violate these Terms or are deemed inappropriate, irrelevant, or disruptive to the learning environment.

• We may also suspend or restrict access to the Forums for users who engage in repeated or serious violations.

• EVTC is not obligated to review or moderate all submissions and is not responsible for the content posted by participants.

Prohibited Content in Forums

Users are prohibited from posting or submitting content that:

• Contains abusive, offensive, defamatory, or discriminatory language.

• Includes any form of harassment, threats, or hate speech.

• Is unrelated to the course topics or could detract from the learning experience.

• Violates intellectual property rights, including unauthorized sharing of copyrighted materials

• Includes unsolicited promotions, spam, or links to external websites not relevant to the discussion.

Consequences of Violating Forum Rules

Any user found violating these Forum rules may face restricted access to the LMS or Forums, or account suspension, based on the severity of the violation. In cases of severe or repeated violations, EVTC reserves the right to terminate your account without a refund.

Disclaimer of Responsibility for User Content

Excellence Visions Training and Consultancy is not responsible for the accuracy, reliability, or quality of any content posted by users in the Forums. The views expressed in user submissions are solely those of the individual and do not reflect the views of Excellence Visions Training and Consultancy

Reporting Misconduct

If you encounter any content in the Forums that violates these Terms, please report it to [email protected]. We encourage all participants to contribute to a respectful, supportive, and constructive learning environment.

Pricing, Taxes & Payment Terms

Course Pricing

• All course prices are listed in Saudi Riyals (SAR) or USD if you change the currency from the website. The Prices are subject to change at any time at the sole discretion of EVTC. Price adjustments do not affect users who have already enrolled in and paid for a course.

• The total cost of each course is displayed on the course registration page and includes access to all related materials, sessions, and resources unless otherwise noted.

Taxes and VAT

• In compliance with Saudi Arabian law, a Value Added Tax (VAT) of 15% will be applied to all course fees, as required. VAT will be clearly indicated in the total price at checkout and included in your payment confirmation receipt.

• For businesses eligible for VAT exemptions or claiming VAT deductions, please provide the necessary tax identification or documentation at the time of payment to ensure accurate invoicing.

Payment Methods

We accept multiple payment options to facilitate enrollment, including:

• Credit/Debit Card Payment: Secure online payments using major credit and debit cards.

• Bank Transfer (Pay Later): If selecting the bank transfer option, please complete the payment within [3 days] of enrollment. Course access will be granted only after the successful receipt of payment.

• Other Approved Payment Methods: Any additional payment methods (e.g., electronic wallets, invoicing) will be listed on the LMS checkout page or available upon request.

Currency and Exchange Rates

All fees are listed in Saudi Riyals (SAR). if you want to pay in USD, you can change the currency from the website or if you are paying from outside Saudi Arabia and choose to pay in USD or any foreign currency, any applicable exchange rate and conversion fees are your responsibility and will be applied by your payment provider.

Installment Payments (if applicable)

Certain courses may offer installment payment plans, allowing you to pay over a set period. Details regarding eligibility, payment frequency, and interest rates (if applicable) are provided in the course description. Failure to meet installment payments may result in course access suspension or cancellation.

Refunds and Cancellations

• Refunds are only available as per the terms of our Refund Policy. Refund requests must be made by contacting [email protected].

• Refunds may not be provided after access to course content has been granted unless otherwise specified in the Refund Policy.

• In cases where EVTC cancels a course, a full refund will be provided.

Payment Security and Privacy

All payment transactions are processed through secure, encrypted payment gateways to protect your financial information. We do not store or share credit card information. Please review our Privacy Policy for additional details on how we protect your data.

Non-Payment and Delinquent Accounts

Failure to complete payment in full by the due date may result in a suspension or restriction of access to the course and LMS. If paying by installment, any missed payments may also result in penalties, loss of access, or cancellation of enrollment without a refund.

Warranty Disclaimer

No Guarantee of Results

EVTC provides all courses, materials, and services on an "as is" and "as available" basis. While we strive to deliver high-quality content, we make no guarantees, representations, or warranties of any kind—express or implied—about the results, accuracy, reliability, completeness, or suitability of the content provided.

Educational, Training, and Informational Purposes Only

Our courses are designed only for educational, training, and informational purposes. We do not warrant that completing any course will result in specific skills, qualifications, job opportunities, or professional advancement. Attainment of certificates does not imply any guarantee of competency or job placement.

Limitation on Service Availability

We do not warrant that the LMS will be uninterrupted, secure, or free from errors, viruses, or other harmful components. From time to time, the LMS may be unavailable due to scheduled maintenance, updates, or unforeseen technical issues. While we aim to minimize disruptions, we make no guarantees of uninterrupted access.

No Warranties Regarding Third-Party Content

Our LMS may link to or integrate content provided by third parties, including tools, resources, or references. We do not warrant the accuracy, reliability, or appropriateness of third-party content and disclaim responsibility for any harm resulting from your access to or use of third-party resources.

Exclusion of Implied Warranties

To the fullest extent permitted by law, we disclaim all warranties of any kind, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Any reliance you place on our LMS, courses, or materials is strictly at your own risk.

Limitation of Liability

Under no circumstances shall Excellence Visions Training and Consultancy be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use or inability to use the LMS or any course content, even if we have been advised of the possibility of such damages.

Intellectual Property Rights

Ownership of Intellectual Property

All content, materials, and resources provided on the LMS—including but not limited to text, graphics, logos, videos, audio recordings, documents, code, and software ("Content")—are the exclusive intellectual property of Excellence Visions Training and Consultancy or its licensors and are protected by Saudi Arabian and international copyright, trademark, patent, and other intellectual property laws.

Limited License to Use Content

When you enroll in a course, we grant you a personal, non-transferable, non-exclusive, and revocable license to access and use the course Content solely for your personal, non-commercial educational purposes. This license does not grant you ownership of any intellectual property rights in the Content.

You may not, under any circumstances, use, distribute, copy, modify, transmit, reproduce, or create derivative works of the Content without prior written consent from Excellence Visions Training and Consultancy, except as expressly permitted under these Terms.

Restrictions on Use of Intellectual Property

Prohibited Actions: 

You are expressly prohibited from:

• Reproducing, republishing, or redistributing any Content without our express written permission.

• Attempting to reverse-engineer, disassemble, decompile, or extract any part of the LMS software or underlying code.

• Creating derivative works or adaptations of the Content.

• Removing or altering any copyright, trademark, or other proprietary notices on any part of the LMS or Content.

Any unauthorized use of our intellectual property will result in the immediate suspension or termination of your account and may lead to legal action.

Trademarks and Branding

All trademarks, service marks, logos, and trade names displayed on the LMS are proprietary to Excellence Visions Training and Consultancy or its licensors. The use of any Excellence Visions Training and Consultancy trademarks without prior written permission is strictly prohibited.

You may not use any of our trademarks or branding elements in a manner that could cause confusion or imply an endorsement, affiliation, or sponsorship between you and Excellence Visions Training and Consultancy without our explicit permission.

Third-Party Intellectual Property

The LMS may include content licensed from third parties, such as images, software, or educational materials. Use of any third-party content is subject to the specific license terms provided by the third party. You may not use, distribute, or reproduce third-party content beyond what is authorized within the course or LMS.

Reporting Intellectual Property Violations

If you believe your intellectual property rights or those of a third party have been violated within the LMS, please contact [email protected] with a detailed description of the alleged infringement. We take intellectual property rights seriously and will address any violations promptly, including the removal of infringing materials where appropriate.

Consequences of Intellectual Property Violations

Violations of these Intellectual Property Rights terms may result in restricted access, account suspension, and/or legal consequences. We reserve the right to pursue all available legal remedies in cases of intellectual property infringement.

Confidentiality

Definition of Confidential Information

"Confidential Information" includes any information, materials, or data disclosed to you through the LMS, whether in written, electronic, or verbal form, that is identified as confidential or that should reasonably be understood as proprietary or confidential by its nature. This may include but is not limited to, course content, materials, LMS features, user data, and proprietary business information.

Obligations of Confidentiality

You agree to:

• Keep all Confidential Information in strict confidence and do not disclose it to any third party without prior written consent from Excellence Visions Training and Consultancy.

• Use Confidential Information only as necessary for your personal use of the LMS and participation in courses, and not for any other purpose, including but not limited to commercial or competitive activities.

• Exercise reasonable care to protect the confidentiality of any disclosed information, using no less than the level of care you would use to protect your own confidential information.

Exceptions to Confidentiality

The confidentiality obligations do not apply to information that:

• Was known to you before disclosure by Excellence Visions Training and Consultancy, as evidenced by your records.

• Becomes publicly known through no wrongful act by you or any third party.

• Is lawfully disclosed to you by a third party without restriction on disclosure.

• Is independently developed by you without access to, or reliance upon, Confidential Information provided by Excellence Visions Training and Consultancy.

Disclosure Required by Law

If you are required by law, regulation, or court order to disclose any Confidential Information, you agree to promptly notify Excellence Visions Training and Consultancy in writing, if permitted, so that we may seek an appropriate protective order or other remedy to prevent or limit such disclosure.

Duration of Confidentiality Obligation

Your obligation to maintain the confidentiality of the information disclosed through the LMS will continue indefinitely, even after you have ceased using the LMS or your account has been terminated unless otherwise agreed upon in writing by both parties.

Violation of Confidentiality Obligations

Unauthorized disclosure or misuse of Confidential Information may result in termination of access to the LMS, legal action, or both. Excellence Visions Training and Consultancy reserves the right to seek all available legal and equitable remedies in cases of confidentiality violations.

Return or Destruction of Confidential Information

Upon termination of your LMS account, or at any time upon request from Excellence Visions Training and Consultancy, you agree to promptly delete or destroy all Confidential Information in your possession or control and provide written confirmation of the same, unless you are otherwise required by law to retain such information.

Termination

Termination by Excellence Visions Training and Consultancy (EVTC)

We reserve the right to suspend or terminate your access to the LMS, courses, and any related services at our discretion, without notice, for any reason, including but not limited to:

• Violations of these Terms and Conditions, including the Code of Conduct, Confidentiality, and Intellectual Property Rights sections.

• Non-payment or repeated late payments for courses or other services.

• Unauthorized use of LMS content, software, or features.

• Engaging in activities that harm the LMS, disrupt other users’ experience, or pose a security risk.

Termination by User

• You may choose to terminate your LMS account at any time by contacting [email protected]. Upon termination, you will no longer have access to any courses, materials, or resources associated with your account.

• If you are currently enrolled in a course, please be aware that termination of your account will result in the forfeiture of your enrollment and access to that course, and you will not be eligible for any refunds, unless otherwise stated in the Refund Policy.

Effect of Termination

• Upon termination of your account, any licenses or rights granted to you under these Terms will immediately cease, including access to course materials, recorded sessions, certificates, and any other resources provided through the LMS.

• We may retain your personal information as required by law or as outlined in our Privacy Policy; however, we will no longer use this information for active services or communication with you unless legally obligated.

Refund Policy on Termination

Termination of your account, whether initiated by you or by EVTC, does not automatically entitle you to a refund. Refunds, if applicable, will be provided only as per our Refund Policy and may require you to formally request any eligible refunds.

Reactivation of Account

Reactivation of a terminated or suspended account may be considered at the discretion of EVTC. If approved, account reactivation may require additional conditions or fees to restore access to courses or services.

Survival of Terms

Any terms within these Terms and Conditions that by their nature are intended to survive termination (including but not limited to Confidentiality, Intellectual Property Rights, Payment Obligations, and Limitation of Liability) will continue to apply following account termination.

Support

Access to Support Services

Excellence Visions Training and Consultancy provides support services to assist with technical issues and account management. Support is available to all registered users of the LMS via email, or phone during our standard support hours, as indicated on our website.

Types of Support Offered

Our support services include assistance with:

• Account Setup and Access: Help with logging in, password resets, and account management.

• Technical Issues: Troubleshooting technical issues, including video playback, browser compatibility, and LMS navigation.

• Course Content and Materials: Clarifying course requirements, accessing resources, and providing information on course content.

• Payment and Billing Inquiries: Assisting with payment processing, invoices, and questions about refunds or payment methods.

Response Times

We aim to respond to all support inquiries within 1 hour during our normal operating hours. Response times may vary depending on the nature and complexity of the request.

Limitations of Support

Our support team is unable to provide detailed academic guidance, course-specific tutoring, or help with assignments beyond clarifying course requirements. For academic questions, we encourage you to reach out directly to your instructors through the LMS.

External Support Services

In cases where issues arise due to third-party services (e.g., internet connectivity, device compatibility), our support team may provide general guidance but is not responsible for resolving issues related to external services or hardware. We recommend reaching out to the relevant service provider for additional support.
